Special Counsel is working with a company in need of a corporate paralegal.  At least three to five years’ experience in this or a similar role is required.  In-house experience is preferred, as well as experience with litigation matters.  This is full-time with a competitive compensation package.  
The Corporate Paralegal Job Responsibilities Include:
• Preparation of LLC Agreements, written consents, resolutions and organizational documents of various entities
• Handling regulatory forms
• SEC and UCC filings, as well as lien search requests
• Maintaining minute books
• Preparation of due diligence lists and charts
• Review, organize and maintain due diligence and closing documents
• Draft letters and documents as directed by legal counsel  
• Minimum of three to five years of experience
• Exposure to litigation matters preferred
• Excellent verbal and written communication skills
• Computer proficiency in MS Office (Word, Excel and Outlook); database experience
• Experienced typist
• Detail oriented
• Strong organizational skills
• Ability to independently manage multiple projects in a fast-paced environment
