Commercial Contracts Attorney

You will be drafting, reviewing, analyzing, redlining, revising, and negotiating commercial contracts and agreements; providing legal insights regarding contractual matters for company's finance, IT, manufacturing, supply chain, HR, sales, and marketing functions, including leading negotiations on master supply and service level agreements, licenses, leases and intercompany agreements, and completing other tasks as assigned. Excellent written and verbal communication skills are key. International experience a plus.

Responsibilities:

  • Provide support to the Operations, Innovation, HR, IT, Finance, and Marketing departments in third party contract commercial contract matters, including reviewing, drafting, negotiating, and redlining commercial contracts
  • Draft and negotiate real estate related agreements (leases, service contracts, construction agreements, management agreements, hold harmless agreements, licenses, agreement terminations/extensions)
  • Conduct legal research and compliance reviews in order to advise on legal issues such as contract interpretation, risk management, data privacy, and corporate policies and procedures, including employment and other policies, standards, and practices
  • Collaborate as part of a team with business leaders and other partners to provide innovative solutions in a  fast-paced environment
  •  

    Qualifications:

  • 5+ years of commercial contracts attorney experience, either in-house or at a law firm
  • JD required; must be licensed and in good standing in CA
  • Strong computer proficiency, especially with MS Office (Word, Outlook, Excel, and PowerPoint) and contract management lifecycle software
  • Strong understanding of, and familiarity with, the operation of the company's business, products, markets, facilities, and customers
  • Ability to adapt to a changing environment and focus on the strategic needs of the business along with a growth mindset and desire to work in a demanding and changing environment
  • Great written and verbal communication skills; solid organizational and multi-tasking skills with high attention to detail
