Special Counsel is looking to hire a Commercial Contracts Counsel for a long-term temporary opportunity with a busy client. The ideal candidate should exhibit a high attention to detail, be a team player, and demonstrate an ability to work in a fast-paced environment. The position is 100% remote.
Responsibilities:
Draft, review and negotiate various commercial and public sector agreements including Software as a Service Agreements, Reseller Agreements, Application Hosting Agreements, Marketing Agreements, Content Provider Agreements, Consulting Agreements and Nondisclosure Agreements, etc.
Assist with Legal Department project as assigned including data privacy compliance, System and Organization Controls (SOC 2) compliance, template updates and consolidations, policies and procedure development
Provide legal advice on a wide range of legal matters
Complete special projects and other assigned tasks
Qualifications:
5+ years of experience handling all aspects of corporate commercial and public sector contracting
Experienced in handing data privacy and security issues (US and international including CCPA and GDPR)
Prior experience reviewing licensing or SOWs preferred
Background in general commercial law preferred
Skills:
Excellent interpersonal, negotiation, and communication skills
Good judgment and problem-solving skills
Highly organized and detail-oriented
Proficiency in Microsoft Office Suite
Proven ability to effectively prioritize tasks and meet deadlines
Experience in Conga or similar management software preferred
Education:
Active Florida Bar license required
Experience: At least 5 years’ experience as an Attorney handling complex commercial contracts and at least 2 years with Data Privacy.
Employment Type: Part-time; temporary
Work Hours: 20 hours per week
