Corporate Paralegal

New

Special Counsel is currently recruiting a Corporate Paralegal for an east-side company.  This position is on-site.  Competitive salary and benefits package.

ESPONSIBILITIES

  • Assist with responding to requests for information and documents from auditors, lenders, service providers, and other stakeholders.
  • Support corporate governance processes, including general recordkeeping, preparation of presentations, resolutions, consents, and other materials.
  • Assist with compliance and corporate governance matters for international and domestic subsidiaries.
  • Manage entity formations and coordinate with service providers with regards to annual compliance reporting and filings.
  • Obtain certifications and other documents from governmental authorities in Delaware, Ohio, and other states (e.g., good standing certificates, apostilles, etc.).
  • Assist with M&A and other strategic transactions, including providing due diligence support, data room management, and preparing and organizing deal documents.
  • Maintain corporate records.
  • Future responsibilities may include assistance with SEC filings, as well as annual meeting preparation.
  • Support special projects as needed, including research, organization, and project management.
  • Other responsibilities based on experience, abilities, and interest.
  • QUALIFICATIONS

  • 5+ years corporate paralegal experience at a law firm, in-house legal department, or a combination of both; experience at a publicly-traded company a plus.
  • Experience with FAA regulatory filings and/or European corporate governance a plus.
  • Strong written and verbal communication. and organizational and analytical skills.
  • Ability to adapt and willingness to work on a variety of matters, in a fast-paced environment with frequently changing needs.
  • Successful candidate should be resourceful, self-sufficient and highly motivated.
  • Proficient in MS Office, with an emphasis in Word, Excel, and PowerPoint.
  • Exceptional level of accuracy, fanatical attention to detail and excellent proofreading skills.
  • Collaborative team-player who is comfortable “thinking out of the box”, with a sense of humor and who is intellectually curious and capable of learning on the job.
  • Paralegal certification from an ABA approved paralegal program or equivalent experience.
  • Bachelor’s degree preferred.
