Special Counsel is recruiting a Part-time Corporate Paralegal for the legal department of a company in Akron, Ohio. This position is remote. Cleveland, Akron, Canton area candidates only, as some travel to office may be required.
Assist in the management of department's annual budget and forecasting processes
Initiate and manage resources focused on E-Billing and all related issues
Provide monthly and quarterly reports on legal spend along with analysis
System owner for department's tools and technology, including matter management, E-billing, legal hold software, document management, IP Management, and entity management.
Administer contracts management system, including upload and organize signed contracts, manage contract signature process, tag contracts with appropriate data identifiers, and calendar compliance related tasks
Administer annual Insider Trading certification
Support the review and revision of all company policies and procedures Entity Management
Prepare resolutions, written consents, and secretary certificates as required
Record changes in officers and directors for parent company and its legal entities
Manage audits to ensure compliance in all jurisdictions Board of Directors
Assist with board of directors/committee meetings, including agendas and action items
Update and maintain corporate minute books for parent company and legal entities, including drafting resolutions, minutes and other necessary documentation
Assist with maintenance and update of governance policies and procedures
