Corporate Paralegal

Special Counsel is recruiting a Part-time Corporate Paralegal for the legal department of a company in Akron, Ohio.  This position is remote.  Cleveland, Akron, Canton area candidates only, as some travel to office may be required.

Responsibilities:

  • Assist in the management of department's annual budget and forecasting processes
  • Initiate and manage resources focused on E-Billing and all related issues
  • Provide monthly and quarterly reports on legal spend along with analysis
  • System owner for department's tools and technology, including matter management, E-billing, legal hold software, document management, IP Management, and entity management.
  • Administer contracts management system, including upload and organize signed contracts, manage contract signature process, tag contracts with appropriate data identifiers, and calendar compliance related tasks
  • Administer annual Insider Trading certification
  • Support the review and revision of all company policies and procedures Entity Management
  • Prepare resolutions, written consents, and secretary certificates as required
  • Record changes in officers and directors for parent company and its legal entities
  • Manage audits to ensure compliance in all jurisdictions Board of Directors
  • Assist with board of directors/committee meetings, including agendas and action items
  • Update and maintain corporate minute books for parent company and legal entities, including drafting resolutions, minutes and other necessary documentation
  • Assist with maintenance and update of governance policies and procedures
