Corporate Paralegal

Special Counsel's prestigious client is looking for a corporate paralegal. This position assists the Business Practice Group. If you have similar experience as listed below please send your resume to or to hear more about this exciting opportunity.

Position experience needed:

  • Assist with corporate transactions and finance closings, including compiling and organizing documents for execution and closing; preparation and submittal of electronic and/or hard copy closing binders and packages to transaction parties
  • Perform searches of online public real estate records and analyze / summarize findings
  • Reviewing and analyzing title reports / commitments and lien searches; perform online bring-downs of prior title searches
  • Prepare and file/record basic legal documents at various Recorder of Deeds offices (Property Deeds, Realty Transfer Tax Statement of Value forms)
  • Preparation of settlement statements
  • Perform online corporate record searches and obtain, analyze and summarize public documents filed with PA Secretary of State / Corporations Bureau (and other jurisdictions)
  • Perform lien searches (UCC, judgment and tax) and review, analyze and summarize search results
  • Prepare and file electronic UCC Financing Statements (initial, continuations, amendments and terminations)
  • Prepare organizational documents, including articles of incorporation, certificates of organization, stock certificates, organizational resolutions, meeting minutes and articles of dissolution; obtain required clearance certificates from state agencies for entity dissolutions
  • Drafting correspondence to clients and transaction parties.
  • Create and distribute annual minutes or reports for business entities
  • Perform legal research and prepare memorandums of law on basic legal issues
  • Able to track a case/matter from initial file opening through closing and post-closing, as applicable
  • Routine communication with clients, filing offices and service providers
  • Calendaring and tracking of transaction deliverables and post-closing items and tasks
  • Other duties as assigned
  • Skills needed:

  • Detail oriented with excellent communication skills and understand corporate deadlines
  • Ability to use various technology systems
  • Drafting, revising, proofing, and finalizing correspondence and other documents
  • Ability to work independently
  • Bachelor's degree and paralegal ABA certificate is preferred, would look at all MBA's
