Corporate Paralegal

Are you an experienced corporate paralegal interested in a job opportunity in Fort Lauderdale, Florida? We especially want to hear from those who have experience creating agreements and licensing within the beverage/wine/spirits realms. The major responsibilities include drafting, reviewing, and revising commercial contracts, NDAs, and other legal documents; assisting with intellectual property, partnerships, and governance; and project management tasks associated with due diligence. You will be drafting, reviewing, analyzing, redlining, and negotiating employment contracts, commercial agreements, NDAs, and non-compete agreements; assisting with legal research, policy development, and records management; supporting entity formation/maintenance and dissolution, including ordering entity books, obtaining EINs, filing renewals online, and coordinating reminders in the contract database; maintaining contract forms and corporate records; assisting with sales representative/broker/distributor agreements; coordinating regulated licensing, including applications, renewals, price postings, taxes, and shipping; managing the contracts database; HR assistance as necessary; and more! Qualifications:

  • 3+ years of corporate law experience, including contracts and NDAs
  • BA/BS required, Paralegal Certificate preferred
  • Solid understanding of local, state, and federal legal regulations regarding contracts
  • Strong computer proficiency, especially with MS Office (Word, Outlook, Excel, and PowerPoint) and contract management systems
  • Solid organizational and time management skills with high attention to detail
  • Great written and verbal communication skills
