Corporate Paralegal

We are excited to partner with our client on a role with Corporate Paralegal Job in Portland, OR!  This is with a large, international law firm with a mid-sized Portland office with a positive and friendly vibe. This role has a nice variety to it and your days will go quickly. Corporate paralegal experience is a must and there is definitely room to grow with this firm!
 
Your Responsibilities:
  • Preparing and filing articles, certificates, organizational documents, agreements, resolutions and applications related to a variety of transactions related to incorporation/formation of corporations, partnerships and companies, assist with closing of mergers & acquisition transactions.
  • Assisting with trust and estate administration including drafting, proofreading and executing client estate planning packages; trust funding & distributions; preparation of initial drafts of estate planning documents, including wills, trust agreements, correspondence and other required documents.
  • Preparing and filing various federal and state forms including applications for licenses to operate specific Business/Corporate entities.
  • Facilitate and assist with ongoing corporate governance matters including preparing resolutions and minutes of directors’ and shareholders’ meetings and other miscellaneous corporate documents
  • Maintaining annual corporate records and filings and functioning as stock transfer agent in transferring stock of a corporation and maintaining list of stockholders
  • Maintaining capitalization records.
  • Submitting filings under federal securities and state blue sky laws including drafting and filing Form D with the SEC and drafting and filing other documents required for selling securities in a particular stat.
  • Researching and preparing blue sky memoranda.
  • Administering liquidations, dissolutions and withdrawals.
  • Communicating with all stakeholders in a professional manner.
Your Qualifications:
  • At least 2 years of corporate paralegal experience working in a corporate legal department or law firm/professional services environment.
  • Certificate of completion of a paralegal program approved by the American Bar Association.
  • Knowledge in incorporation and/or formation of corporations, partnerships and limited liability companies, foreign qualification application filing and applicable resolutions, and supporting mergers & acquisition transactions.
  • Experience with trust and estate planning and administration is preferred.
  • Strong technical skills in Microsoft Word, Excel, Visio, eShares, iManage or other document management solution, HotDocs and Corporate Focus, (with experience maintaining cap tables).
  • Proactively follows-up on assignments in situations where there is little or no guidance and is a self starter.
  • Ability to work independently as well as function in team environment.
  • Strong organizational skills and attention to detail.
  • Resourceful and appropriate decision making skills
  • Superb communication skills (verbal and written).
  • Experience with emerging growth companies and venture backed capital deals, is a plus.
