Corporate Paralegal

Corporate Paralegal:

The Corporate Paralegal position provides support to the Associate General Counsel for Corporate Governance, and entails frequent interaction with our Board of Directors, senior executives, as well as managing directors of our foreign operations. POSITION RESPONSIBILITIES

  • Assist in the preparation and filing of documents required for formation, governance, foreign qualification, withdrawal, merger, and dissolution of corporations, limited liability companies, partnerships, and other legal entities (including coordination with local counsel for non-US entities)
  • Create and maintain corporate minute books for parent company and its US and foreign subsidiaries
  • Create and maintain library of corporate governance documents and forms
  • Serve as internal resource for information regarding corporate records, organizational structure, and other governance-related items
  • Maintain corporate governance calendar
  • Assist in preparation of SEC filings
  • Assist with D&O questionnaires, proxy materials, and annual meeting preparation and documentation
  • Coordinate signatures, notarizations, and legalization of various legal documents
  • Assist with administration and updating of compliance programs
  • Assist with contract tracking and maintenance
  • Assist with business transactions and related due diligence
  • Manage routine correspondence, organization of files, and other administrative tasks
  • At least 4 years of relevant coporate paralegal professional experience.
  • Bachelor's degree required
  • Excellent written and oral communication skills
  • Strong problem-solving and critical thinking skills
  • Strong knowledge of MS Office and Adobe Acrobat software
  • Ability to multi-task, prioritize, meet tight deadlines and work with a team
  • Meticulous attention to detail
  • Outstanding organizational skills
  • Ability to manage multiple projects in a fast-paced environment with quick response time
  • Professional demeanor with a high degree of discretion
