Corporate Paralegal

Special Counsel is seeking a Corporate Paralegal for an exciting opportunity to work with a global company to assist the legal team in all phases of investment transactions. Responsibilities:

  • Assist in investment transaction from inception to closing;
  • Coordinate communication within and outside the firm;
  • Closing mechanics and post-closing administration;
  • Coordinate legal and regulatory review of private funds be presented to investment committees;
  • Assist with due diligence and management of data rooms;
  • Complete and review AML/KYC and FATCA/CRS profiles for firm-sponsored funds and firm clients/investors;
  • Complete subscription and related documents for private markets fund investments;
  • Negotiate confidentiality agreements;
  • Organize and appropriately handle/file legal documents and sensitive, confidential information and ensure action/attention required is addressed;
  • Gather data and compile various reports for legal team;
  • Partner with attorneys with respect to invoice management and other legal operations matters;
  • Qualifications/Requirements:

  • 3+ years of corporate law experience
  • Solid foundation of local, state, and federal legal regulations regarding investment transactions
  • Strong computer proficiency, especially with MS Office (Word, Outlook, Excel, and PowerPoint) and contract management systems
  • Solid organizational and time management skills with high attention to detail
  • Outstanding written and verbal communication skills

  • Min: 100,000.00
  • Max: 125,000.00
  • Work Hours:

  • Mon-Fri, 8am-5pm (with flexibility)
