Corporate Paralegal

Special Counsel Austin is seeking an experienced corporate paralegal who will assist in the transactional area, supporting multiple corporate attorneys focusing in Mergers & Acquisitions, Private Equity in an international law firm's Austin office.

Responsibilities:

  • Due diligence related to mergers & acquisitions, debt & equity financing, and various other corporate transactions
  • Perform corporate governance matters including corporate legal research, drafting resolutions, preparing and maintaining detailed record books, and preparing stock certificates
  • Assist with closings and UCC lien searches 
  • Prepare and file UCC financing statements
  •  

    Requirements:

  • Bachelor’s degree, paralegal certificate, or equivalent combination of education and experience required
  • 3+ years of recent experience working as a Corporate Paralegal with a focus on Mergers and Acquisitions
  • Ability to proofread typed material for contextual, grammatical, typographical or spelling errors
  • Interpersonal skills necessary to communicate effectively in person, by e-mail and telephone; effectively follow instructions from a diverse group of clients, attorneys and staff; provide reports with professional courtesy and tact
