Corporate Paralegal

Seeking a corporate paralegal who will assist in the transactional area; supporting multiple corporate attorneys focusing on mergers & acquisitions, private equity and corporate governance.

 

Responsibilities:

  • Responsible for drafting and reviewing contracts; customer MSAs, NDAs, license agreements, partnership agreements, vendor and other general operating documents
  • Perform corporate governance matters including corporate legal research, drafting resolutions, preparing and maintaining detailed record books, and preparing stock certificates 
  • Assist the legal team with leveraged finance and private equity transactions
  • Prepare and file UCC financing statements
  •  

    Requirements:

  • Bachelor’s degree or equivalent combination of education and experience required
  • 4+ years of recent experience working as a Corporate Paralegal or Corporate Legal Assistant
  • Ability to proofread typed material for contextual, grammatical, typographical or spelling errors
  • Interpersonal skills necessary to communicate effectively in person, by e-mail and telephone; effectively follow instructions from a diverse group of clients
