Special Counsel (AUSTIN) is seeking candidates for a CORPORATE PARALEGAL postion with an outstanding Austin corporate law firm! 

Responsibilities:

  • Assists with closings of merger and acquisition transactions, including ordering of UCC and lien searches
  • Drafts and organizes documents for closing; supervises closing room; assists in closing and post-closing matters.
  • Prepares and files amendments to formation documents, applications for assumed, abandoned and withdrawal of assumed names at state and county level
  • Assist with franchise tax report filings including final reports in connection with dissolution, merger or foreign state withdrawal.
  • Prepare and file SEC Form ID, Application for electronic filing codes, and SEC Form D, Notice of Sales of Securities, with the Securities and Exchange Commission
  • Achieves billable hourly requirement.
  • Qualifications

  • Bachelor’s degree required; Paralegal Certificate preferred.
  • Minimum five years experience preferred. Experience with emerging growth and venture backed companies strongly preferred.
  • Familiarity with CARTA software OR cap tables strongly preferred.
  • Technical expertise in Microsoft Office, including Access; ability to perform Internet-based searches.
  • Work with limited supervision as well as supervise and lead others; attention to detail; excellent oral and written communication skills; strong organizational skills; ability to multi-task; ability to understand and analyze legal issues.
