Special Counsel (AUSTIN) is seeking candidates for a CORPORATE PARALEGAL position with an outstanding law firm!
Assists with closings of merger and acquisition transactions, including ordering of UCC and lien searches
Drafts and organizes documents for closing; supervises closing room; assists in closing and post-closing matters.
Prepares and files amendments to formation documents, applications for assumed, abandoned and withdrawal of assumed names at state and county level
Assist with franchise tax report filings including final reports in connection with dissolution, merger or foreign state withdrawal.
Prepare and file SEC Form ID, Application for electronic filing codes, and SEC Form D, Notice of Sales of Securities, with the Securities and Exchange Commission
Achieves billable hourly requirement.
Bachelor’s degree required; Paralegal Certificate preferred.
Minimum five years experience preferred. Experience with emerging growth and venture backed companies strongly preferred.
Familiarity with CARTA software strongly preferred.
Technical expertise in Microsoft Office, including Access; ability to perform Internet-based searches.
Work with limited supervision as well as supervise and lead others; attention to detail; excellent oral and written communication skills; strong organizational skills; ability to multi-task; ability to understand and analyze legal issues.
