Corporate Securities Attorney

Special Counsel is seeking to place a qualified associate-level attorney with securities experience on a long-term contract engagement with one of our client's based in Philadelphia.  Please see details below – and don’t delay so you won’t miss out in joining this exciting new opportunity!!

Details and Requirements:

Expected Start:  Candidate must be available to interview and start within the next 3 weeks 

Expected Duration: Open-ended duration, no firm end date

Bar Requirement: Actively licensed and in good standing in Pennsylvania

Hour requirement: 40 hours a week 

Pay: Depends on level of experience - provide requested hourly pay rate when applying

Location: Philadelphia, PA (though candidates located in DC, New York City, and Boston are also encouraged to apply)

Required Experience:

  • 3-5 years recent experience as an associate in a large firm or in-house position
  • Experience in securities offerings, securities regulation, disclosure issues, and corporate governance matters.
  • Experience in handling SEC-registered, Rule 144A, and private placement capital market transactions for issuers and underwriters as well as reviewing and commenting on periodic and current reports.
  • Must possess excellent academic credentials as well as exceptional deal execution and drafting skills.
  • Be a self-starter who can take ownership of projects and interact effectively with clients.
  • Be a member of the Pennsylvania bar.
