Entry Level Corporate Paralegal

Special Counsel's client in downtown Pittsburgh is seeking a Corporate Paralegal to join its Pittsburgh office. The Paralegal supports lawyers and experienced practice area paralegals performing a variety of functions that may include factual research, document analysis, cite checking and Shepardizing, drafting transactional documents and document and /or database coordination. Candidates must be self-starters who possess the ability to work independently and as part of a team. -Draft and file documents related to business incorporation and ongoing operations
-Organize and maintain deal documents, minute books, and corporate records
-Responsible for the day-to-day operational and administrative activities for clients’ equity programs.
-Manage equity administration systems, including, but not limited to, ensuring cap tables are current and accurate, and process all updates 
-Prepare, reconcile and generate equity reports on a regular basis and custom reports on an as-requested basis
-Organize and maintain deal documents, minute books, and corporate records
-Assist with equity financings, acquisitions and mergers, and other transactions.

- BA / BS degree or equivalent practical experience
- 1+ years of experience as a paralegal or equity administrator in a tech start-up, large law firm or in-house
- Certified Equity Professional (CEP) or enrolled in comparable certification a plus
- Experience implementing and managing an equity administration software (Carta, Shareworks, Equity Edge, Certent,  E*Trade, etc.)
- Experience with multiple forms of Equity Plans (ISO, NSO, RSU, ESPP, etc.),
- Strong tech skills a must, MS Excel included
- Ability to work in a fast-paced environment, manage competing priorities, adhere to tight deadlines and exhibit strong customer service focus to collaborate with stakeholders at all levels of each organization.
- Self-starter with strong time management and organizational skills - detail-oriented, resourceful and diligent.
- Strong public speaking and communication skills
- Customer-focused attitude, with high level of professionalism, discretion and ability to communicate clearly and concisely with internal and external stakeholders
