In-House Corporate Paralegal

NYC Office of investment bank is looking for a Corporate Paralegal to directly support the General Counsel. This is a great opportunity for ay paralegals with the exprience required to be an integral part of a busy legal team. 



  • Prepare corporate resolutions and minutes
  • Company formations/dissolutions
  • State DBA registrations
  • Preparing organizational charts
  • Maintenance of corporate minute books
  • Manage registered agents (US & foreign)           
  • Drafting UCC filings
  • Filing of UCCs in state offices
  • UCC searches
  • Calendaring UCC expiration/renewals
  • Respond to KYC requests
  • Perform Sanctions checks & provide sanctions certifications
  • Respond to supply chain & CSR (corporate & social responsibility) certification requests
  • Review Supplier codes of conduct
  • Maintain Corporate records (electronic and paper)
  • Maintain Signatory lists
  • Assist in contract review and execution
  • Draft & negotiate non-disclosure agreements (NDAs) and similar agreements
  • Maintain NDA list
  • Manage Counsel engagement letters
  • Review & approve Legal invoices
  • Negotiate vendor agreements
  • Handle communications with outside counsel, shareholders, lenders, and other stakeholders
  • Respond to document & discovery requests
  • Perform electronic searches and prepare reports
  • Assist in legal & insurance claims management
  • Maintain/update litigation & claims reports
  • Assist in closing financing and other transactions
  • Assist in company projects & initiatives
  • Regulatory and corporate compliance
  • Preparation and dissemination of company compliance policies
  • Risk policy semi-annual updates
  • Will work closely with commercial teams, as well as accounting, treasury, etc.
  • Must have strong and effective communications skills (oral & written); ability to work both independently and in teams; highest ethical standards and strong work ethic;
  • must have ability to juggle numerous tasks and work under pressure; ability to work successfully in a professional environment

  • Required Skills:
    Must have excellent Word skills and the ability to work with electronic platforms (e.g., OnBase), search engines, e-signatures, etc.
    College degree (bachelors or greater)
    Paralegal training &/or relevant legal work experience (3 years min.)
