Special Counsel's client in downtown Pittsburgh is in needs a mergers and acquisition paralegal. In this position you will assist the attorney with various commercial real estate deals. The position is highly relied upon and is a true paralegal position which would require you to go to a safe office environment downtown. Job Duties:
Support and assist with commercial real estate and corporate transactions and finance closings, including compiling and organizing documents for execution and closing; preparation and submittal of electronic and/or hard copy closing binders and packages to transaction parties
Perform searches of online public real estate records and analyze / summarize findings
Reviewing and analyzing title reports / commitments and lien searches; perform online bring-downs of prior title searches
Prepare and file/record basic legal documents at various Recorder of Deeds offices (Property Deeds, Realty Transfer Tax Statement of Value forms)
Preparation of settlement statements
Perform online corporate record searches and obtain, analyze and summarize public documents filed with PA Secretary of State / Corporations Bureau (and other jurisdictions)
Perform lien searches (UCC, judgment and tax) and review, analyze and summarize search results
Prepare and file electronic UCC Financing Statements (initial, continuations, amendments and terminations)
Prepare organizational documents, including articles of incorporation, certificates of organization, stock certificates, organizational resolutions, meeting minutes and articles of dissolution; obtain required clearance certificates from state agencies for entity dissolutions
Calendaring and tracking of transaction deliverables and post-closing items and tasks
