Special Counsel is currently recruiting a corporate paralegal for a company in Sandusky, Ohio. The position is set in a fast-paced, time-sensitive environment and requires good problem solving skills, accuracy and attention to detail. An ideal candidate would enjoy working in a positive, team-oriented workplace. This position is responsible for tasks in support of the General Counsel. The ideal candidate will work closely with various people, internal and external, including vendors, auditors, attorneys, state and federal offices.
Administer communications and assist in decision making as it pertains to the publicly traded entity filings (proxy preparation, vote tracking, transfer agent oversight, etc.) in aid to the General Counsel and the Controller.
Assist Counsel with the preparing of the annual Proxy Statement for shareholders with the information required by the Securities and Exchange Commission for the annual shareholders’ meeting.
Support the legal team administratively, including preparing documents, correspondence, scheduling, etc.
Reviews all subpoenas for basic compliance, work with Records Custodian and send responses when necessary.
Respond to all departments, and assist in the review of POAs, trusts and any other legal documents or issues.
At the direction of General Counsel, and in support of Legal Counsel and vendor management, work directly with various Lines of Business to analyze the progress of vendor management.
Performs Legal research and conducts fact gathering.
Drafts Legal documents of limited complexity under Counsel’s supervision.
Maintains and updates files.
Performs a variety of law-related tasks under the direction of General Counsel and Legal Counsel.
Proactive surveillance of Regulatory changes to the environment
Three to Five years’ experience in a corporate law firm or as a paralegal for a bank or other publicly traded company.
Bachelor’s Degree, or a Paralegal Professional Certification preferred.
Exceptional organization, time management and follow-up skills. Excellent interpersonal skills and ability to communicate (both oral and written) effectively with customers, bank employees, outside counsel and other service providers.
Must have proficient typing and computer skills, specifically Microsoft Word and Excel and the ability to navigate other computer programs.
Strong customer service and problem solving skills and demonstrated ability to respond to inquiries with tact, diplomacy and patience.
Must be extremely detail oriented and have the ability to manage multiple priorities with varied deadlines.
Knowledge of the language of loan documents, escrow agreements, subpoenas, trusts, and other legal documents associated with the financial industry.
Ability to follow detailed instructions and a wide range of procedures requiring sound judgement.
