Special Counsel is recruiting a Paralegal for the in-house legal department of an investment company with offices in Chicago and New York City.  The Paralegal will support the Legal team. Strong attention to detail and ability to work in an evolving, start-up work environment are key to this exciting role.

Responsibilities: 

  • Assist in closing corporate debt transactions, including (some or all of) mezzanine, private and public placements, commercial loan originations, asset-backed securities
  • Coordinate all Closing activities including; managing deal flow notices, wire instructions, signatories and confirming all final and executed deal documents have been received/circulated to bank vaults
  • Responsible for drafting and negotiation of NDAs
  • Data tracking, management and storage (filing all final and executed agreements in an organized filing system)
  • Help with general corporate matters (i.e., drafting, filing and managing various business entity documents)
  • Coordinating meetings on behalf of legal team Requirements
  • Qualifications:

  • 3-5+ years of experience in at least one of the following settings: law firm, financial services, asset management and/or insurance industry
  • Undergraduate degree and paralegal certification
  • Experience with corporate debt transactions; private equity experience a plus
  • Familiarity/experience with physical settlements (including private debt, loans and commercial mortgage loans) preferred
  • Experience maintaining or producing KYC/AML documentation would be a plus
