Paralegal

Special Counsel is looking for an experienced Corporate Paralegal for our client in Downtown Seattle. Candidates looking to apply for this position should have at least 3-5 years of experience in corporate transactional law. Responsibilities:
•    Prepare financial disclosures 
•    Assist attorneys with corporate governance matters 
•    Draft contracts and certificates related to various legal offerings
•    Conduct legal research 
•    Communicate regularly with clients
•    Draft and revise legal correspondence including motions, pleadings, contractual agreements, and memos
•    E-file documents in both state and federal court
•    Prepare closing binders for final distribution
•    Assist attorneys with due diligence reviews 

Qualifications:
•    Knowledge of corporate transactional law
•    Proficient in Microsoft Office Suite and timekeeping software
•    Excellent proofreading and editing skills 
•    Superb written and verbal communication skills
•    Ability to multitask and work for multiple attorneys at one time 
•    Strong organizational skills
•    Ability to prioritize projects 

Education and Experience:
•    Bachelor’s Degree preferred
•    Paralegal Certificate preferred
•    Previous corporate transactional law experience required
