Paralegal

Special Counsel is currently seeking a Paralegal or Senior Paralegal to with strong knowledge and experience in Corporate law and legal procedures. This is a dynamic opportunity to work with a leading international firm that provides solutions to many of the world's top financial institutions. The role offers both remote and in-office work options in Palo Alto, Los Angeles and San Francisco.

Responsibilities:

  • Stock and capitalization management;
  • Board and Board committee minutes preparation;
  • SEC Section 13 and SEC Section 16 filings;
  • Prepare director and officer questionnaires;
  • Prepare closing certificates;
  • Prepare and file securities filings;
  • Prepare board and stockholder resolutions.
  • Qualifications/Requirements:

  • At least 3 years of Paralegal experience (preferred);
  • At least 3 years of relevant Corporate experience;
  • ABA-approved Paralegal Certificate (required);
  • Bachelor’s Degree (preferred).
  • Skills:

  • Advanced proficiency in MS Outlook and web-based conference call/web-sharing applications as well as Microsoft Office.
  • Advanced proficiency in online research and internet search resources (Lexis Nexis/Westlaw);
  • Advanced knowledge of Firm and Corporate practice-area-specific procedures and terminology;
  • Advanced knowledge of relevant jurisdictional/court/agency processes and procedures;
  • Advanced knowledge of timekeeping and expense reporting applications and legal billing processes.
  • Experience:

  •  At least 3 years of Paralegal experience (preferred);
  • At least 3 years of relevant Corporate experience.

  • Compensation:

  • Min: $120,000.00
  • Max: $130,000.00
  • Per the Colorado Equal Pay for Equal Work Act the salary range for this position is $57.69 - $62.50 per hour depending on experience
  • Full benefits package including medical, dental, vision, 401K, and PTO.
  • Work Hours:

  • Mon-Fri, 8am-5pm (overtime as required)
