Special Counsel is partnering with a New York law firm seeking a Corporate & Securities Paralegal to join their award winning Corporate & Securities Practice Group.
Assist with Rule 144 legal opinion drafting and issuance
Communicate with clients regarding status of ongoing projects
Coordinate and manage multiple transactional closings
Assist with drafting board and shareholder resolutions
Support corporate governance matters, transactions, and due diligence.
Assist attorneys to prepare integral corporate documents/materials, and state and federal regulatory filings
Review and file routine SEC filings
Assist with maintaining checklists, including closing checklists, state good standings, etc.
Support attorneys with drafting and reviewing various contracts
Conducts general transactional activities
Bachelor’s Degree required
Minimum 2+ years of prior work experience as a corporate paralegal in a law firm
Proficient with Microsoft Office Suite (i.e. Word, Excel, Power Point)
Proactive, energetic and hardworking team player
Exceptionally well organized and detail oriented
Manage multiple projects in a deadline driven environment
Adaptable to ever changing priorities
Demonstrated organizational skills
Excellent oral and written communication skills
Flexibility to work overtime as required
Ability to coordinate and implement complex projects and work collaboratively
Excellent analytical and organizational skills
Strong academic credentials
Good judgment, discretion, tact, and strong communication skills
