Job description

Special Counsel is partnering with a New York law firm seeking a Corporate & Securities Paralegal to join their award winning Corporate & Securities Practice Group. 



  • Assist with Rule 144 legal opinion drafting and issuance
  • Communicate with clients regarding status of ongoing projects
  • Coordinate and manage multiple transactional closings
  • Assist with drafting board and shareholder resolutions
  • Support corporate governance matters, transactions, and due diligence.
  • Assist attorneys to prepare integral corporate documents/materials, and state and federal regulatory filings
  • Review and file routine SEC filings 
  • Assist with maintaining checklists, including closing checklists, state good standings, etc.
  • Support attorneys with drafting and reviewing various contracts 
  • Conducts general transactional activities 


  • Bachelor’s Degree required
  • Minimum 2+ years of prior work experience as a corporate paralegal in a law firm
  • Proficient with Microsoft Office Suite (i.e. Word, Excel, Power Point)
  • Proactive, energetic and hardworking team player
  • Exceptionally well organized and detail oriented
  • Manage multiple projects in a deadline driven environment
  • Adaptable to ever changing priorities
  • Demonstrated organizational skills
  • Excellent oral and written communication skills
  • Flexibility to work overtime as required
  • Ability to coordinate and implement complex projects and work collaboratively
  • Excellent analytical and organizational skills
  • Strong academic credentials
  • Good judgment, discretion, tact, and strong communication skills
