Senior Corporate Paralegal

Special Counsel is recruiting a Senior Corporate Paralegal for an East-side Corporation. The Senior Corporate Paralegal will be a dynamic individual and serve as an integral member of the legal department providing assistance and support on a broad range of legal matters affecting day ­to ­day business operations. This individual reports to the Senior Corporate Counsel. Areas of emphasis include Board of Director and Committee management and meeting support, corporate governance, SEC and Nasdaq compliance support, treasury and tax department support, M&A legal support, general corporate legal support, global subsidiary management and maintenance, record book management and maintenance, and contract management support and administration.

Responsibilities:

  • Board of Director and Committee management and meeting support, including preparation of materials, posting in online platform, coordination among Committee leads and senior management, and coordination of director pay
  • SEC and Nasdaq compliance support and reporting matters, management of Section 16 reporting process and related recordkeeping matters
  • Annual Meeting coordination and support, proxy statement assistance, coordination of D&O questionnaires, corporate governance support
  • M&A legal support, including due diligence, preparation of closing documents, certificates and binders, assistance with general corporate restructuring and structuring matters
  • General corporate legal support, including entity establishment, corporate name reservations, fictitious name filings, etc.
  • General support of treasury and tax departments
  • Global subsidiary management and maintenance, record book management and maintenance, maintenance of corporate profiles and organization charts for legal entities, officers and directors
  • General support on organizational and project management matters, including data protection
  • Contract management administration and support, contract review support
  • General legal department administrative support, budgeting, billing, and expense tracking support
  • Qualifications:

  • Bachelor's or Associate's degree required. Paralegal degree/certified paralegal preferred. Notary public preferred
  • 7 years' experience as a corporate paralegal.  Extensive in­house corporate paralegal experience at a publicly-traded company preferred. Some law firm corporate paralegal experience preferred
  • Significant experience and expertise in Board of Director matters, SEC and Nasdaq reporting matters, global entity management, M&A and corporate restructuring matters, corporate governance
  • Exceptional written and verbal communication skills, including at the senior management and director level, ability to collaborate across the organization on issues with a sense of urgency
  • High level of competency with the Microsoft Office software package, and other technology driven platforms
  • Ability to search SEC and corporate filings
  • Ability to work with legal counsel in non­-US jurisdictions on various matters
