Senior Paralegal

Special Counsel is looking for a a Senior Paralegal to work with our client in the field of corporate governance. Please review the job description below and reply with your resume in word format if you are interested!

 The ideal candidate will have experience in corporate governance with professional strengths in legal document preparation, management of large projects on a global scale, a commitment to being organized and a keen attention to detail.

Responsibilities include, but are not limited to:

  • Assist with reviewing and coordinating filing of Exchange Act reports, such as 8-Ks
  • Assist with proxy statement preparation, including director and officer questionnaires and provide support to attorneys
  • Maintain working knowledge of SEC and NYSE requirements
  • Draft a wide range of documents, including meeting minutes, meeting agendas, resolutions, closing certificates, certifications, etc.
  • Provide support for debt and equity capital markets transactions
  • Perform other related duties and ad hoc projects as required
  • Assistance with various KYC requests, due diligence inquiries, signing authority inquiries and document authentications
  • Assist with drafting, implementing, and updating various bank governance policies and procedures regarding branches and representative offices, officer appointments, and signing authorities
  • Qualifications:

  • Bachelor’s degree required
  • Must be a NYS notary
  • Preferred Paralegal certification from an ABA-Accredited program or Association for Legal Professionals (NALS), National Federation of Paralegal Associations (NFPA), or National Association of Legal Assistants (NALA)
  • Minimum of 3-5 years of total work experience in a law firm working on corporate, securities and transactional matters  or at a publicly-traded company
  • Must have excellent oral and written communication skills and the ability to effectively communicate across the organization
  • Ability to work across multiple time-zones
  • Must have excellent Excel skills
  • A high degree of proficiency with legal entity management and board portals such as Blueprint, Diligent - BoardVantage, and Computershare GEMS
